CleanIntell Platform Terms
CleanIntell provides record-keeping software to commercial property owners and managers ("Client") for use with the independent cleaning businesses ("Contractor") the Client already engages. CleanIntell does not perform cleaning services, does not introduce or select Contractors, and is not a party to the cleaning agreement between Client and Contractor.
Client brings the independent cleaning businesses it already engages onto the CleanIntell platform. CleanIntell operates record-keeping, messaging, and document software: it records arrivals, holds the licence and insurance dates a Contractor files, and carries messages between Client and Contractor. It is not a party to the cleaning services performed and does not supervise, direct, or employ the Contractors who perform that work. CleanIntell does not select Contractors, does not schedule or price the cleaning, and does not guarantee any outcome from a visit.
Client agrees to:
Contractors invited by Client onto a property through CleanIntell are independent businesses, not employees, agents, or joint venturers of CleanIntell or of Client. Under California law — including Labor Code Section 2775 (commonly known as AB-5) and the "ABC test" it establishes — a worker is presumed to be an employee of the hiring entity unless that entity shows the worker (A) is free from its control and direction in performing the work, (B) performs work outside the hiring entity’s usual course of business, and (C) is customarily engaged in an independently established trade of the same nature as the work performed. CleanIntell’s business is selling record-keeping software to the Client. CleanIntell does not match, schedule, price, supervise, or pay for cleaning, takes no share of what Client pays Contractor, and receives no compensation from Contractor. The cleaning is performed by independent Contractors engaged directly by Client.
To preserve this independent relationship, Client agrees that it will not, and will not ask a Contractor to:
Client further acknowledges that Contractors are free to accept or decline job opportunities, may perform services for other clients and other platforms, and are solely responsible for their own labor, insurance, equipment, taxes, licenses, and methods of performing services.
CleanIntell does not price the cleaning and produces no quote for it. What Client pays their Contractor is agreed between the two of them; Client may record that figure so it appears on the property’s record, and nothing in the software sets or suggests it. The only amount CleanIntell sets is its own monthly software fee, which is calculated from what Client tells us about the property — its size, its type and how many days a week it is serviced — and is shown to Client before they confirm the property. If the property turns out to differ materially from what was described, that fee may be recalculated, and Client will be told before any change takes effect.
Payments are processed securely through our third-party payment processor (Stripe), on the terms shown to Client when the property was added. Client authorizes a recurring monthly charge for the software fee on that property until it is cancelled as described in Section 7. If a payment is declined or fails, CleanIntell may suspend Client’s access to the software for that property until a valid payment method is provided. It does not affect the cleaning: CleanIntell does not schedule that work and cannot stop it, and the arrangement between Client and Contractor is unaffected.
The cleaning itself is agreed between Client and Contractor, and ending it is a matter between them. CleanIntell is not a party to that arrangement and makes no promise about the notice, timing or terms of it. Client may cancel the CleanIntell software fee for a property at any time from their portal; cancellation takes effect immediately and stops future charges, and amounts already charged for the current month are not refunded. If Client’s Contractor stops working a property, the software reflects that the property has no Contractor on it; finding another one is Client’s decision and Client’s relationship to make. CleanIntell may also discontinue Client’s access to the software with reasonable notice.
Client is encouraged to use in-platform messaging to communicate with their Contractor so there is an accurate, timestamped record of scheduling changes, special requests, and other communications.
Client should report any service concerns through the platform within 48 hours of the visit, while the detail is fresh. The report goes on that property’s record with its date, so Client can take it up with their Contractor directly and has something in hand when they do. CleanIntell records the concern; it does not inspect the work, judge it, or arrange for it to be redone, and it is not responsible for the quality of work performed by an independent Contractor.
Any damage claims should be reported within 5 business days through the platform, with a description and the date. The platform does not accept a photograph from Client — a cleaning crew can attach one to something they report, but Client’s own report form takes text only, so send photographs directly to Contractor and their insurer. The claim itself is between Client and that Contractor’s insurer: CleanIntell is not a party to it and does not submit, adjust, or negotiate claims. What we will do is give you the insurance certificate we hold for that Contractor and the arrival record for the property, so you are not chasing us for either. Contractors are required to maintain their own General Liability Insurance and remain responsible for damage arising from their work.
Both parties agree to protect confidential information exchanged in connection with the service, including property access credentials, security codes, and tenant information, and to use it solely for the purpose of performing or receiving the cleaning service. When Client chooses to send a reported concern to an outside contact — a plumber, an electrician, a building engineer — CleanIntell delivers what Client sends to the address Client names: Client decides who receives it and what it says, and CleanIntell selects no recipient of its own. CleanIntell’s collection and use of Client’s personal information is also governed by our Privacy Policy.
Client agrees to indemnify and hold CleanIntell harmless from claims, damages, and expenses arising from Client’s breach of this Agreement, Client’s violation of applicable law, or Client’s own acts or omissions in connection with the property or the service, except to the extent caused by CleanIntell’s own gross negligence or willful misconduct.
CleanIntell’s role is limited to that of record-keeping software used by Client alongside the independent Contractors Client engages directly. The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CleanIntell disclaims liability for the acts, omissions, or work quality of any Contractor, and CleanIntell’s total liability arising from use of the platform shall not exceed the platform fees paid by Client in the three months preceding the claim. In no event will CleanIntell be liable for indirect, incidental, special, or consequential damages.
The parties agree to first attempt a good-faith, informal resolution of any dispute by contacting CleanIntell support. If a dispute is not resolved within 30 days, either party may pursue mediation, and, where applicable, binding arbitration, before resorting to litigation — except that either party may seek injunctive relief in court to protect confidential information.
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles, and the parties consent to venue in the state or federal courts located in the San Francisco Bay Area, unless otherwise required by applicable law.
By checking the agreement box when requesting service, Client provides their electronic signature and agrees to be bound by all terms outlined above, with the same effect as a handwritten signature.
